Description
The TYTL Token is a Regulation D 506(c) tokenized digital security issued by TYTL Corp on Solana Mainnet. Each token represents $1.00 of Consensus Fair Market Value ("CFMV") of dual-recorded fractional deeded interests in premium U.S. single-family residential real estate, held through a bankruptcy-remote Portfolio SPV and custodied at Anchorage Digital Bank, N.A. (OCC Charter #1750) - the same qualified custodian used by BlackRock's BUIDL Fund. On July 28, 2026, TYTL Corp signed a non-binding LOI for an all-stock business combination with Beeline Holdings, Inc. (NASDAQ: BLNE), a publicly traded SEC-registered digital home finance and 50-state title platform. The combination was announced August 3, 2026 via Beeline's Form 8-K. TYTL acquires fractional deeded interests through a Fractional Home Equity Purchase ("FHEP") - a passive, non-recourse deeded equity structure executed at a 20% discount to CFMV. Every FHEP is dual-recorded at the county recorder's office and on Solana via a Property PDA. TYTL Corp filed Form D with the SEC for a $1B Reg D 506(c) exempt offering (CIK 0002113410). Investor custody is structured via a Tri-Party Control Agreement perfecting a first-priority UCC Article 8/9 security interest under New York law.
